CFC Desk Terms of Service
1. The service
CFC Desk is a professional web tool operated by BK ("the operator") that assists in preparing IRS Form 5471. Use is by invitation only. The operator may withdraw an invitation, change, or discontinue the service at any time.
2. Eligibility
The service is for use by U.S. tax practitioners, and by other users the operator specifically authorizes to work on those practitioners' engagements. It is not offered for direct use by taxpayers, and there is no public sign-up — every account is created by the operator.
3. A tool, not tax advice
Figures, forms, and workpapers produced by CFC Desk are drafts for the preparer's review. Responsibility for tax positions and for the filed return rests with the signing practitioner. The operator does not warrant that the tool's output is accurate or fit for any particular purpose.
4. License
The operator grants each invited user a personal, non-exclusive, non-transferable license to use the service for that user's own engagements. Accounts may not be shared; each individual must sign in with their own identity.
5. Your obligations
You agree to (1) keep your account and sign-in credentials to yourself, (2) upload only client documents you are authorized to handle, (3) not attempt to access other users' workspaces, and (4) not reverse-engineer, scrape, or use the service for unlawful purposes.
6. Prohibited uses
In addition to the obligations above, you agree not to: extract data in bulk to build or train a competing product; publish benchmarks, screenshots, or performance claims about the service without the operator's prior consent; redistribute or resell access to the service; or attempt to circumvent Cloudflare Access or any other access control.
7. Intellectual property
The engine, user interface, form mappings, and guides that make up the service are the property of the operator. Documents you upload, and the returns and workpapers the service produces for your engagements, remain your property.
8. Feedback
If you send the operator suggestions or feedback about the service, the operator may use it to improve the service without restriction or compensation, and will not publish it or attribute it to you in identifiable form.
9. Data and confidentiality
Documents you upload remain yours; the operator uses them only as described in the Privacy Policy. Test users agree not to disclose the tool's internal workings or any information about other users learned during testing.
During this test program specifically: the operator does not write real names, SSNs, EINs, uploaded file names, or entered content to server logs; each user's documents are kept in a workspace isolated from other users; and an administrator may access minimal account information (email, role, creation date) only to manage accounts (role changes, disabling, deletion).
10. Test program
The service is currently offered as a test program. During the test program the operator makes no uptime commitment and the service is provided "as is" (maintenance, downtime, and interruptions may occur without notice), and the internal-workings/non-disclosure commitment described above in Data and confidentiality applies specifically to test users.
These test-program terms end when the operator declares general availability. Every other term in this agreement — including License, Intellectual property, Feedback, Prohibited uses, Limitation of liability, Termination and data export, and Governing law — continues unchanged before and after general availability.
11. Limitation of liability
To the extent permitted by law, the operator is not liable for indirect, incidental, or consequential damages (including penalties, additions to tax, or interest) arising from use of or inability to use the service.
The operator's total liability for direct damages arising from the service is limited to the fees you paid the operator in the 12 months before the claim arose, or USD 100, whichever is greater.
Nothing in these terms limits or excludes liability that cannot be limited or excluded under applicable law.
12. Termination and data export
Either the operator or the user may terminate the user's access to the service at any time. On request, made within 30 days after termination, the operator will make the inputs you uploaded and the outputs the service produced for you available for download.
13. Third-party trademarks
CFC Desk is not affiliated with, endorsed by, or sponsored by Thomson Reuters or any other third party named in the service. UltraTax CS and other product names are trademarks of their respective owners. Outputs of the service are drafts for professional review and do not replace tax preparation software or the signing practitioner's professional judgment.
14. Export and sanctions compliance
You may not use the service if you are located in, or are a national or resident of, a country or region subject to U.S. government embargo, or if you are on any U.S. government restricted-party or denied-party list.
15. Governing law
These terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-law rules. The exclusive venue for any dispute arising from these terms or the service is the state or federal courts located in the State of Washington.
16. Entire agreement; language
These terms, together with the Privacy Policy, are the entire agreement between you and the operator about the service and replace any earlier agreement on the same subject. This English text controls; any translation is provided for convenience only.
